With three partners, should we incorporate ot start a LLC?

New postby Aaron » 29 Oct 2012, 12:10

My two brothers and I are about to start a business venture. I was going to start it alone as a sole proprietor, but I decided to take my two brothers into the business with me. Its going to be a Website Design & Hosting business, and provide other business solutions. What is the simplest way to go? LLC, Inc? Please help and thank you in advance.

You really should speak with an accountant as the different structures have different tax benefits, etc.

One warning I can give is if you are going into business with other people, make sure you know if they have good credit or not, especially if you plan to apply for business financing anytime in the near future. I've seen a lot of people go into business together but they don't think to ask about personal credit and it can really put the brakes on things when you are ready to expand and need some financing options. Best of luck to you!

What kind of foods should I incorporate into my diet if I'm just starting out?

I'm trying to get in shape which means I need a diet and lifestyle change. What foods should I stay away from and what should I add to my diet? Do you have any good recipes also?

For a healthy body, look at good nutrition and exercise

1) Eat more steam food, lean meat, lean protein, vegies and fruits

2) Cut out the junk food, soda drinks and snacks. Get rid of the junk food from the cupboards! Eat cashew / almond nuts instead.

3) drink plenty of water / green tea

4) Exercise - look at combining weights and cardio into your program. you can look at alternating upper and lower body exercises without rest, say bicep curls, then lunges , rest and repeat. With cardio, try sprinting 100m, jog 100m and repeat.

Here's a review link to a program

5) Have 5-6 healthy meals a day(1 plate portions) to keep your body satisfied

6) if you have cravings drink water or eat fruits

7) have an action plan for long term goals, start off with small goals and increase it gradually over time. And you will see in your size drop.

8) form a support group. Make yourself accountable to someone like your parents/relatives/friends/partners. Best yet, get them to participate in a healthy lifestyle.

Good luck

If you want to be accurate try and draw it in the feudal Japanese woodblock style.

Make sure the Ninja has a straight sword, and make sure it isn't too long!

Try adding some cherry blossoms or bamboo in the background. I wouldn't suggest adding every generic Japanese style item you can think of like the chap above suggested though, it'll look cluttered and poop.

Should I incorporate a LLC or S Corp?

New postby Melida » 29 Oct 2012, 12:10

I provide business consulting in California and am wondering what's the best business structure I should go for to limit my tax liability and protect my assets? Does one structure give me more in being able to deduct business expenses? Or should I keep just as self employed as myself under no structure?
Thanks all for answering so quickly. To provide more details, I'm planning on expanding my consulting to include more services and therefore will likely hire sub-contractors/vendors.

Well, I am not a CPA...but I am an Enrolled Agent (certified by the IRS). I don't have a general rule. Each situation is different.
The first thing I have to say is that most CPA's aren't tax experts...they are auditors. I do know some CPA's that are very good at taxation though...they specialize in this area.
Now, to answer your question. It depends on what type of consulting you do and the exposure of your assets.
It is not true that a S-Corp pays less tax than an LLC. Sometimes they do sometimes they don't. But, a S-Corp does offer a bit more flexibilty. Yet, it creates more paper work and more regulation.
If you are making a profit with a S-Corp you are required to take a salary. So, you pay half of the SS tax and the S-Corp pays half (it is still the same amount as an LLC). But, there is a problem with the S-Corp. How do you legally get the money out of the corporation to your personal account without paying tax on it again? You will not have this problem with a single owner LLC.
It is a very complex question that you are asking. However, I want to ask you some questions. Would a professional insurance policy accomplish the same means? What are the odds of you being sued? Your a consultant...you give them advice...you don't make the final decision. What liability do you have?

Do you really want to make your tax situation more complex, and/or expensive, than it needs to be? Something to think about...it never makes any sense spending a dollar just to save pennies in taxation.

My advice (without knowing a lot more) would be to re-think your situation. Is there really a need to change it now?

Hope this helps.
